WELLTECH objects to any different or additional terms or conditions contained in any offer, purchase order or other document from Buyer, and no such different or additional terms shall be effective or binding on WELLTECH unless agreed to and signed by WELLTECH in writing. Where Buyer issues a purchase order or other written advice relating to this Transaction, the written Agreement shall be used for Buyer’s internal purposes only and the terms and conditions set forth therein shall not be effective.

1. New customers need to pay 50% of the proofing cost in advance, and the remaining 50% will be paid off upon delivery. Old customers will use the monthly payment method. If there are subsequent bulk orders, the proofing cost can be deducted from the bulk order.

2. The rapid mold project must be prepaid 50%, and the balance will be paid after the product is completed. All the molds offered by RITALis, including those used for plastic injection molding and those used for mold casting, are only rapid prototyping molds. They are only used for small batch processing (less than 100 times) and are not used for mass production manufacturing. WELLTECH will not be liable for any part claimed by the Buyer that does not meet the requirements.

3. Based on the information at the time of quotation, the subsequent addition of other information, such as detailed drawings with fine tolerances, changes in structural features, may lead to adjustments in cost and processing time.

4. Machining is based on 3D drawings and 2D drawings provided by the customer, which will be used to provide information related to tolerances, dimensions, surface treatment, etc. The geometry is based on the 3D drawings provided.

5. If the design is changed after receipt of the purchase order, the Customer agrees to pay any additional charges that WELLTECH may bear. For example, if we start or even finish work and have to start over due to a design change, the customer agrees to pay the costs incurred.

6. WELLTECH supplies samples that are either natural or oxidized, we strive to meet the wishes of the customer and shall attempt all reasonable means to achieve a match with the sample or reference provided. However, if the color of the product is different from the reference or sample provided, we can only guarantee that we can provide the color to match as much as possible, which is our best effort. Anodized products often do not match the template reference exactly. Anodized products should only be completed on the basis of best efforts. We will do our best to match the samples provided, but cannot provide a guarantee of perfect match.

7. The machining parts are generally located inside the arc Angle, if the internal right Angle is required, it must be emphasized and clearly communicated. Methods such as EDM or manual finishing of non-metallic parts may be required, which will affect cost and delivery time.

8. Any non-conformity of the products must be reported within 15 days of receipt of the goods in order to lodge any claim against WELLTECH.

9. If due to force majeure: If such suspension or delay is caused by fire, storm, earthquake, strike, power outage, labor dispute, riot, lack of access to materials, equipment, labor or transportation, government restriction, serious public health nuisance or any similar cause beyond the control of the Company, WELLTECH hereby assumes no responsibility for the manufacture, delivery, suspension or delay of any goods.

10. The Buyer shall not sign any package showing signs of external damage without first inspecting the outer package. Signing a damaged package will void any claim for compensation.

11. WELLTECH disclaims any liability for intent to use, regulation, licensing or misuse of existing intellectual property rights, including patent infringement, copyright or trademark infringement or other legal conditions that are the responsibility of the product sponsor or the financially responsible party.

12. The Buyer shall have sole legal responsibility for the design specifications and performance of the goods marked in this exchange. WELLTECH will, to the best of its ability, provide a portion of the 3D geometries provided on behalf of the Buyer that comply with the dimensions required by the Buyer and these terms effective from January 2025, as well as the tolerances specified in the 2D drawings provided by the Buyer. This work is done on a best effort basis, and if certain tolerances are not met, but the part still works as expected, the part should not be considered scrap.

13. WELLTECH will maintain the confidentiality of Customer drawings, designs and intellectual property, and if the information needs to be shared with third parties, the third party shall comply with the Customer’s standard NDA non-disclosure agreement.

14. WELLTECH is not responsible for the design of the goods subject to this transaction. If Altruists suggest design modifications or provide design analysis, simulations, or recommendations, they do so to help meet the requirements of WELLTECH’s own manufacturing process. These proposals shall be reviewed and verified (by the buyer) before the start of production.
